PUBLIC OFFER AGREEMENT

This Agreement is an official public offer of the Seller to conclude a contract for the purchase and sale of goods remotely in accordance with Articles 633, 641, 642 of the Civil Code of Ukraine and the Law of Ukraine "On Electronic Commerce".

1. GENERAL PROVISIONS

1.1. This Agreement is entered into upon the Buyer’s full and unconditional acceptance of this offer, without signing a paper copy.

1.2. Any of the following actions shall be considered acceptance of this Agreement:

• placing an order on the Seller's website;
• payment for the ordered Goods;
• written or electronic confirmation of agreement with the terms of the Agreement.

1.3. Acceptance means that the Buyer is fully familiar with and agrees with all the terms and conditions of this Agreement.

1.4. If the Buyer does not agree with the terms of this Agreement, the Buyer must not place an Order.

2. TERMS AND DEFINITIONS

Seller — Private enterprise "Shemax Company".

Buyer - any legally capable individual or legal entity who has placed an order on the Seller's website.

Website - the Seller's website through which the sale of goods is carried out.

Goods - equipment and accessories, namely:

• PetitePro-X dust collector (white) ;
• replaceable filter for the dust collector .

Order - a properly executed request from the Buyer to purchase the Goods.

3. SUBJECT OF THE CONTRACT

3.1. The Seller undertakes to transfer the Goods to the Buyer, and the Buyer undertakes to pay for and accept them under the terms of this Agreement.

3.2. The sale of Goods is carried out remotely via the Internet.

4. RIGHTS AND OBLIGATIONS OF THE SELLER

4.1. The Seller is obliged to:

• provide the Buyer with the Goods of proper quality;
• provide reliable information about the Goods;
• deliver the Goods in accordance with the terms of this Agreement.

4.2. The Seller has the right:

• change the terms of the Agreement by publishing a new version on the website;
• refuse service in case of violation by the Buyer of the terms of the Agreement.

5. RIGHTS AND OBLIGATIONS OF THE BUYER

5.1. The Buyer is obliged to:

• provide reliable data for placing an order;
• pay for and accept the Goods.

5.2. The Buyer has the right:

• receive the Goods in accordance with the placed order;
• contact the Seller regarding the quality and operation of the Goods.

6. ORDERING PROCEDURE

6.1. The Order is placed by the Buyer independently through the Website by adding the Goods to the cart and confirming the order.

7. PRICE AND PAYMENT PROCEDURE

7.1. Prices for Goods are indicated on the website in the national currency of Ukraine - hryvnia (₴).

7.2. Payment is made by bank transfer (cashless payment) to the Seller’s account or via payment services available on the Website.

7.3. Payment is deemed made when the funds are credited to the Seller’s account.

8. DELIVERY OF GOODS

8.1. Delivery is available via:

• by the Nova Poshta service ;
• Ukrposhta ;
• by courier delivery;
• self-pickup (by prior arrangement).

8.2. The cost of delivery is paid by the Buyer, unless otherwise specified on the website.

9. RETURNS AND EXCHANGES

9.1. Returns and exchanges of the Goods are handled in accordance with the Law of Ukraine ‘On Protection of Consumer Rights’.

9.2. Goods of proper quality that show signs of use or have lost their marketable appearance are not subject to return.

9.3. Filters and hygienic components cannot be exchanged or returned after opening the package.

10. LIABILITY OF THE PARTIES

10.1. The Parties are liable in accordance with the current legislation of Ukraine.

10.2. The Seller is not responsible for improper use of the Goods by the Buyer.

11. FORCE MAJEURE

11.1. The Parties are exempt from liability in case of force majeure events.

12. TERM OF THE AGREEMENT

12.1. The Agreement is valid from the moment of acceptance and until the Parties have fully performed their obligations.
